These Terms of Use (“Terms”) govern your access to and use of QuarterNote, a product of KumoKodo (“QuarterNote,” “we,” “us”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. The Service
QuarterNote is an online marketplace that connects students with independent music teachers for paid lessons, and provides related tools such as scheduling, payments, messaging, and AI-assisted lesson recaps. We are a platform and venue; we do not provide music instruction ourselves.
2. Eligibility
You must be at least 18 years old and able to form a binding contract to create an account. A minor may take lessons only through an account created and supervised by a parent or legal guardian, who accepts these Terms on the minor’s behalf and is responsible for all activity on the account.
3. Accounts
You agree to provide accurate information, keep your password secure, and accept responsibility for activity under your account. Notify us promptly of any unauthorized use.
4. Relationship between users
Teachers are independent contractors, not employees, agents, or partners of QuarterNote. We do not direct, supervise, or control lessons, and we are not a party to the agreement between a student and a teacher. We verify certain teacher credentials on a reasonable-effort basis but do not guarantee any teacher’s identity, qualifications, conduct, or the outcome of any lesson.
5. Bookings, payments & fees
- Teachers set their own lesson and trial prices. Payments are processed through Stripe; by paying, you also agree to Stripe’s terms.
- QuarterNote charges a platform fee (commission) on transactions. The teacher receives the remainder as a payout through Stripe Connect.
- Teachers are responsible for their own taxes and for any business licensing, insurance, or permissions their work requires.
6. Cancellations, refunds & makeup credits
- Student cancels 24+ hours before the lesson: full refund.
- Student cancels within 24 hours: no cash refund, but a makeup credit is issued — a prepaid, teacher-specific credit to rebook a lesson with that same teacher. Makeup credits expire 90 days after issuance and have no cash value.
- Teacher cancels: the student receives a full refund and the slot is reopened.
7. Recurring lessons
You may set up a standing weekly lesson, which reserves an upcoming series of weekly slots. Each lesson is paid individually. You can end a series at any time; ending it releases future unpaid slots. Already-paid lessons remain subject to the cancellation policy above.
8. AI features
Lesson recaps and practice plans are AI-assisted draftsreviewed by the teacher before they are shared. They are provided “as is,” may contain errors, and are not a substitute for professional judgment.
9. Text messages (SMS)
If you add a mobile number, you consent to receive transactional text messages from QuarterNote (booking confirmations, reminders, and cancellation notices). Message frequency varies, and message and data rates may apply. Reply STOP to opt out at any time or HELP for help; you can also remove your number in your account settings. Carrier is not liable for delayed or undelivered messages. We do not share your mobile number or SMS opt-in data with third parties for their marketing purposes.
10. Acceptable use
You agree not to:
- Harass, abuse, or harm other users.
- Arrange or accept payment for lessons booked through QuarterNote off-platform to avoid fees after being introduced through the Service.
- Provide false information or impersonate others.
- Use the Service for any unlawful purpose or in violation of these Terms.
- Interfere with, scrape, or attempt to disrupt the Service or its security.
11. Content
You retain ownership of the content you submit (profile details, messages, notes). You grant QuarterNote a non-exclusive, worldwide license to host, process, and display that content as needed to operate and improve the Service. The QuarterNote and KumoKodo names, logos, and software are owned by KumoKodo and may not be used without permission.
12. Disclaimers
The Service is provided “as is” and “as available” without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that any teacher or lesson will meet your expectations.
13. Limitation of liability
To the fullest extent permitted by law, QuarterNote and KumoKodo will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Our total liability for any claim relating to the Service will not exceed the greater of the amounts you paid to QuarterNote in the three months before the claim or US$100.
14. Indemnification
You agree to indemnify and hold harmless QuarterNote and KumoKodo from claims arising out of your use of the Service, your content, or your violation of these Terms or of any law or third-party right.
15. Termination
You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service or other users. Provisions that by their nature should survive termination will survive.
16. Governing law
These Terms are governed by the laws of the State of Texas, United States, without regard to its conflict-of-laws rules. The exclusive venue for disputes will be the state and federal courts located in Texas, unless applicable law requires otherwise.
17. Changes
We may update these Terms from time to time. We will revise the “Last updated” date and, for material changes, provide additional notice where appropriate. Continued use after changes means you accept them.
